EMPLOYSURE REFERRAL PROGRAM TERMS AND CONDITIONS

1. Introduction

By participating in Employsure’s Referral Program, You confirm that the named Referred Business provided by You is eligible for this program and that you agree to be bound by these terms and conditions (the Terms).

Referrers may recommend as many referrals as they choose providing the referrals meet Employsure’s eligibility requirements as described within the Terms.

2. Entire Agreement

Unless otherwise required law, the Terms set out the entire agreement between Employsure Pty Ltd (Employsure) and the Referrer.

3. Eligibility Requirements

The Referrer will be eligible to 5% of the Net Value of the Initial Contract that is received by Employsure from the Referred Business if:

• The Referrer refers a Referred Business in accordance with these Terms; and
• The Referred Business enters into a Contract with Employsure.
• The Referred Business has not previously entered into a Contract; or
• The Referred Business has not previously been referred or introduced to Employsure by any other person/business/company; or
• The Referred Business has not previously had any association or affiliation with Employsure.

In addition:

• If the Contract is terminated by Employsure or the Referred Business for any reason, the Referral Reward or remainder of the Referral Reward will not be payable to the Referrer after the date of termination.
• If, after expiration of the Initial Contract, the Referred Business renews the Contract, no referral reward is payable.
• If the Referrer is no longer a client at the point of when the Referral Reward is payable as per 5(A)(i) or 5(A)(ii), the Referrer will still be paid for the period of the Initial Contract subject to the other eligibility requirements described in these Terms.
• Employsure is not obliged to enter into a Contract with a Referred Business. If Employsure declines, for any reason, to enter into a Contract with a Referred Business, The Referrer is not eligible for any payments under these Terms.

4. Payment of Referral Reward

A. If the Referrer is eligible in accordance with Clause 3 of these Terms:

1. Where the Contract is for a period of one year, the Referral Reward will be paid on the last business day of the month following the signed Contract date.
2. Where the Contract is for a period longer than 1 year, the Referral Reward will be paid on an annual pro-rata basis on the last business day of the month following the anniversary date of the Referred Business’s signed Contract date.
3. The Referral Reward in either circumstance (4(A)(i) or 4(A)(ii)) will be paid into the Referrer’s nominated bank account.

5. Definitions

• Contract means the Contract for Services binding Employsure and the Referred Business for a period of at least one (1) year.
• Initial Contract means the first Contract only, in any series of Contracts, renewals, extensions for any Referred Business.
• Net Value means Total Contract (Fee) value, excluding GST.
• Referred Business means the business or company that has been referred through the Employsure Referral Program by an existing Employsure client.
• Referrer/You means any existing eligible Employsure client.
• Referral Reward means the calculated amount the Referrer is entitled to.
