1. This agreement will be for the Initial Contract Period.
2. You agree to pay the total fee over the term stated in the payment schedule of the contract for services. Time for payment of the fees shown above together with these declarations shall be the essence of the contract. If you fail to make the payments and the total amount remains unpaid for more than 60 days, a default may be registered with our credit agency and we may suspend access to our services until payment is received.
3. If you fail to make payment and the total amount remains unpaid for more than 90 days, we may take legal action to recover the overdue amount, terminate the contract and/or, acting reasonably, impose an early termination fee (ETF) of 30% of the remaining contract balance.
4. In order for Peninsula to provide you with continuous, ongoing and seamless service, this agreement will continue after the Initial Contract Term for the same term again unless terminated by you giving us at least 30 days written notice before the end of the Initial Contract Term or any renewed contract term. We will send you a reminder at least 90 days prior to your notice cut-off to your authorised contact email address. This agreement shall automatically renew at the end of the Initial or Renewed Contract Period for the same period unless it is terminated by you. You can contact us at any time, and we will record your notice.
5. Peninsula shall be entitled at the end of the initial contract period, to increase the total fee of no more than the following amounts for the following contract agreement:
i. 2% if the renewed contract period is 1 year or less, or
ii. 6% if the renewed contract period is up to 3 years, or
iii. 10% if the renewed contract period is greater than 3 years.
6. During the initial contract period or subsequent renewal period, you have the option to terminate your contract after the first full year by paying an early termination fee of 30% of the remaining contract balance. If you wish to terminate your contract before the first full year of the initial contract period, you will need to pay the remainder of the fees for that first year and 30% of the remaining contract balance.
7. Peninsula acts in a consultancy capacity only to assist the client with Employment Relations (HR) and its understanding of the health and safety legislation / regulations.
You have the obligation to ensure you comply with all relevant health and safety legislation / regulations, and implement a health and safety system of work. To the extent permitted by law, you further acknowledge and agree that we are not liable for any loss or damage suffered by you as a result of our advice, reports and recommendations, except in the case of our negligence, breach of these terms of wilful misconduct. Peninsula’s total aggregate liability pursuant to this Agreement, howsoever incurred, shall not exceed the sum of the fees paid in one contract year.
8. No refunds or credits shall be due you in respect of any underutilised services.
9. Copyright in all documentation provided under this contract belongs to Peninsula and may not be reproduced, modified without Peninsula’s written permission.
10 Users of BrightHR agree to accept the BrightHR terms and conditions when first registering as a user of that system.
11. Whilst the contract for services under this agreement is for a fixed term, where Peninsula Protect has also been purchased, this can be removed at any time upon request.
12. We may change our standard terms from time to time. If we do change our standard terms, the terms will be no less favourable to these terms and we will notify you by email at least 30 days before any change. You can notify us before the changes take effect if you would prefer to remain on your existing terms.
13. This agreement operates from today's date and you confirm that all the information you have provided is true and accurate and that no material fact has been mistated or withheld.
14. You agree to keeping us informed of any changes to your company details, contact email addresses and telephone numbers for the primary contact named on this contract. This contract is governed by the laws of New Zealand.
